1. Acceptance of Terms

By downloading, installing, or using SineDAW (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User") and Sinecoder ("we", "us", or "our"), the developer and publisher of SineDAW. Together with our Privacy Policy and Refund Policy, these Terms form the entire agreement between you and Sinecoder regarding the App, and supersede all prior communications or agreements on this subject.

2. Description of the Software

SineDAW is a standalone digital audio workstation (DAW) application for Windows, macOS, and Linux, designed for music production. It enables users to record, sequence, arrange, mix, and produce audio on desktop and laptop computers.

Features, functionality, and availability may vary by platform and license tier. We reserve the right to modify, update, or discontinue any aspect of the App at any time without prior notice.

3. License Tiers and Activations

SineDAW is available under the following tiers:

• Free Tier: Available at no cost. Includes core recording, sequencing, mixing, and project save/export functionality. Certain premium features are not available on the free tier, including custom artist logo import and access to premium and pro plugins. The full comparison of tier features is described on our website at sinecoder.com.
• Paid Tier(s): Unlock full or expanded functionality, including all premium and pro plugins and advanced customisation features, as described on our website at the time of purchase.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable license to install and use the App on computers you own or control, up to a maximum of three (3) active installations per license — covering any combination of the supported platforms (Windows, macOS, Linux). You may deactivate an installation at any time through your account to free up a slot for another computer.

Your license permits both personal and commercial use of the App — music you create with SineDAW is yours, and you may release, distribute, sell, or license it freely. This license does not include the right to:

• Copy, modify, or distribute the App itself;
• Use the App to develop a competing digital audio workstation product.

4. Updates and Upgrade Plan

Paid licenses include a 12-month Upgrade Plan from the date of purchase. During this period, all new versions of SineDAW — including major version releases — are available to you at no additional cost.

When your Upgrade Plan expires, your license continues to function permanently with the last version of SineDAW you received during the plan period. You are never required to renew. You may renew your Upgrade Plan at any time to resume receiving new versions for another 12 months.

Free tier users receive updates at our discretion. We do not guarantee that free tier users will receive all future updates.

5. License Transfer

You may transfer your paid SineDAW license to another person, subject to the following conditions:

• You must completely uninstall the App from all of your computers prior to the transfer;
• You must deactivate all active installations from your account before transferring;
• You may not retain any copy or installation of the App after the transfer;
• The recipient must agree to these Terms in order to activate and use the license;
• Licenses may only be transferred once. A license that has already been transferred may not be transferred again.

Free tier accounts are personal and may not be transferred. To initiate a transfer, please contact us at sincoder.ll@gmail.com.

6. Prohibited Uses

You agree not to use the App in any way that:

• Violates any applicable local, national, or international law or regulation;
• Reverse-engineers, decompiles, disassembles, or attempts to derive the source code of the App;
• Circumvents or disables any licensing, copy-protection, or digital rights management features;
• Shares or makes your license credentials available to any third party outside of an authorised transfer under Section 5;
• Transmits any harmful, unlawful, harassing, defamatory, or otherwise objectionable content;
• Interferes with or disrupts the integrity or performance of the App or its associated services.

7. Termination

Your license remains in effect as long as you comply with these Terms. If we determine that you have violated these Terms — for example, by sharing your license, circumventing copy protection, or using the App in a prohibited manner — we will notify you by email and provide a reasonable opportunity to remedy the breach.

If the breach is not remedied within the timeframe stated in our notice, or if the violation is severe (such as actively distributing cracked versions of the App), we reserve the right to revoke your license immediately and without further notice.

Upon termination: your right to use the App ceases immediately; you must uninstall all copies from your devices; and no refund will be issued for any remaining Upgrade Plan period. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, and limitations of liability — will continue to apply.

8. Intellectual Property

The App, including all software code, design elements, documentation, graphics, and other content, is owned by Sinecoder and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.

No rights or licenses are granted to you except as expressly set forth in these Terms. All rights not expressly granted are reserved.

Any audio content you create using the App remains your intellectual property. We do not claim ownership of music or other creative works you produce with the App.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Any warranty that the App will be uninterrupted, error-free, or free of viruses or other harmful components;
• Any warranty regarding the accuracy or completeness of any content or results obtained through use of the App.

Your use of the App is entirely at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SINECODER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF PROFITS — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in Brazil.

12. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will update the "Effective date" at the top of this page. Your continued use of the App after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
